Ireland expansion planning for UK companies

Irish branch or Irish subsidiary: choose the structure before filing

A UK company can expand through a registered Irish branch or a separate Irish limited company. We help owners compare control, liability, filings, tax registrations and ongoing administration before choosing.

In short

  • A branch is part of the existing UK company, not a separate legal company.
  • A subsidiary is a separate Irish legal entity with its own CRO and Revenue obligations.
  • The better route depends on the activity, customers, people, risk and substance in Ireland.

Irish branch

  • The UK company remains the legal entity
  • Register the external company branch with the CRO
  • Parent company exposure is not separated by a new Irish company
  • Ongoing external-company filings apply

Irish subsidiary

  • A new Irish company is incorporated
  • Separate legal identity, records and annual filings
  • Irish directors, secretary and beneficial-ownership requirements apply
  • Can create clearer separation for Irish operations

How the structure review works

1

Map the planned Irish activity

We document customers, people, stock, premises, contracts and management.

2

Compare both compliance calendars

You see the registration and ongoing filing implications of a branch and a subsidiary.

3

Identify cross-border dependencies

We flag where UK advice, treaty analysis or group documentation is needed.

4

Register and maintain the chosen route

Once decided, we coordinate the Irish CRO, Revenue and accounting setup.

The legal difference drives the accounting difference

An Irish branch is an extension of the overseas company. The CRO requires a foreign company that establishes a branch in Ireland to register it within 30 days. The UK parent remains the entity behind the Irish operation.

An Irish subsidiary is incorporated as its own company. It has its own constitution, directors, company secretary, beneficial-ownership record, annual return and tax registrations. That separation can be useful, but it also creates a complete Irish compliance calendar.

Questions to answer before choosing

  • Will Irish customers contract with the UK parent or a new Irish company?
  • Will the operation employ people, hold stock or sign a lease in Ireland?
  • Does the group want liabilities and reporting separated?
  • Where will strategic management and daily activity take place?
  • Which structure do banks, investors, suppliers and regulated counterparties expect?

The tax result cannot be decided from the word branch or subsidiary alone. Permanent establishment, residence, transfer pricing, VAT, payroll and the Ireland-UK tax treaty must be considered against the real activity.

What ARAN can coordinate in Ireland

For a branch, we can coordinate the CRO external-company registration, Irish tax registrations, bookkeeping and ongoing Revenue obligations. For a subsidiary, we can coordinate incorporation and the post-incorporation Corporation Tax, VAT, EORI and payroll setup that applies to the activity.

Where UK legal or tax advice is needed, we identify that boundary early so the Irish structure is not designed in isolation from the parent company's obligations.

Start with the activity, not the form number

Tell us what the Irish operation will do, where customers and staff sit, and what the UK company needs from Ireland. We will map the practical compliance differences before incorporation or branch registration.
